This expression of interest to identify a law firm to carry out an Intellectual Property related consultancy as outlined in the Terms of Reference.
The Federal Government of Nigeria (FGN) has received financing from the World Bank towards the implementation of the Growth and Employment (GEM) Project in Nigeria.
A GEM Federal Project Implementation Unit (FPIU): has been established in the Federal Ministry of Industry, Trade and Investment (FMITI) to implement IDA credit funded activities.
The GEM Project Development Objective is: To increase firm growth and employment in participating firms in Nigeria. This will be addressed by improving the Investment Climate (Component A, funded directly by DFID) and by strengthening industry competitiveness and job creation (Component B, funded in part by IDA), and by leveraging impact beyond immediate stakeholders and target areas (Component C, funded by IDA). Key indicators focus on firm performance and productivity, including value added per worker, sales growth and number of workers per firm.
One of the industrial sub-sectors seen as having growth potential and an ability to improve competitiveness in the GEM project is the Entertainment Sector. The sector is considered strategically important because it has demonstrated high growth potential particularly in the film and music sub sectors.
Objectives of the Assignment:
Sector consultations with public and private sector stakeholders in the entertainment sector have established that in addition to revenue losses due to ‘piracy’ as a result of weak enforcement and other macro factors, there is also significant loss of revenue by sector firms arising from poor knowledge of available Intellectual Property (IP) legislation and lack of familiarity with IP good practice by sector practitioners and their representatives.
This project will develop a sustainable procedure for the provision of ongoing access to user friendly, digestible; bite sized IP Regulation, legal information and IP Nigerian and international best practice information to sector stakeholders. Following the intervention, the following outcomes will be achieved:
- Sector Practitioners aware and utilising legislations and practices that protect and maximize revenues from IP
- Professionals (accountants, lawyers, and business managers) aware of and have tools, expertise and information on effective practices to protect and monetize IP
- Funders and investors understand role of IP in sector as a first step to IP collaterisation.
- Regulators have tools to act as effective and supportive sector stakeholders
Scope of Work
The selected consultant will be required to design the following in line with Nigerian law, international law and best practice:
- Intellectual Property guide / manual for filmmakers, musicians and other creative professionals
- Intellectual Property Professional toolkits for IP Lawyers, Accountants, Investors and Business Professionals
- Design and Deliver 10-12 seminars across four locations (Lagos, Abuja, Kano, Asaba) to sensitize and train the various classes of end users on the use of toolkits developed and wider IP issues. Design a business and revenue model that will ensure the continued marketing, availability and updating of the manuals beyond the GEM intervention.
- Facilitate availability of the first edition of the toolkits, both on and offline.
Methodology
The consultant will be required to:
- Undertake meetings with key sectors players to fully understand the needs of the target users.
- Research and aggregate all relevant Intellectual Property Regulation and create toolkits as specified above for both online and offline usage.
- Prepare draft toolkits, carry out stakeholder consultations with key public and private sector stakeholders for comment and input and finalize according to feedback received.
- Prepare a business plan that demonstrates how the service will be sustained after GEM intervention ends.
- Facilitate the publication, printing, distribution and online presence of the first edition of the toolkits.
Deliverables:
- Hard copies and online First edition IF manual for entrepreneurs published and available /accessible
- Hard copies and online first edition toolkit for IP support professionals published and available / accessible
- Design and Delivery of 10- 12 seminars across four locations (Lagos, Abuja, Kano, Asaba) to sensitise and train the various classes of end users on the use of toolkits developed and wider IP issues.
- Design a business and revenue model that will ensure the continued marketing, availability and updating of the manuals beyond the GEM intervention.
Reporting and payment:
- The assignment will be carried out within a period of six months
- Payment will be made in a minimum of two tranches based on milestones agreed during contract negotiation
- Consultant will report to the FPIU
Competency and Expertise Requirements
The firm leading the work must have significant expertise in Intellectual Property Law both in a local (Nigerian) and International context. The firm shall meet the following specific criteria as a basis for selection.
- The principal partner must be a lawyer with at least ten years post call to bar experience in a registered law firm with expertise in the entertainment sector in Nigeria
- Partners in the firm must have demonstrated evidence of knowledge, practice and expertise of Intellectual property law in Nigeria and internationally
- Partners in the firm must have membership of relevant local and international intellectual property associations or collectives
- Firm and partners in the firm must have evidence of extensive knowledge and networks in the entertainment sector
Submission of Expressions of Interest (EOIs):
Prospective consultants should submit expressions of interest detailing the following information as basis for pre-qualification:
- Profile of firm including ownership structure with full contact details
- Detailed direct experience of Intellectual Property (IP) in the entertainment industry in Nigeria
- Evidence of strong knowledge and networks in the Nigerian entertainment industry
- Knowledge of Intellectual Property (IP) regulation and practice in other emerging economies.
- Strong ability to raise awareness and mobilize stakeholders in the Nigerian entertainment industry.
- Evidence of similar assignment with international organizations like World Bank, World Intellectual Property Organization (WIPO), World Trade Organization (WTO) etc.
The attention of interested Consultants is drawn to paragraph 1.9 of the World Bank’s Guidelines: Selection and Employment of Consultants under IBRD Loans and IDA Credits & Grants by World Bank Borrower, Revised January 2011. Consultants may associate with other firms in the form of a joint venture or a sub consultancy sub consultancy to enhance their qualifications. A firm will be selected in accordance with the Consultants Qualification Selection (CQS) Method set out in the Consultant Guidelines.
