Request for Expression of Interest (“EOI”) for the Sale of 50.30% Equity Stake in an Insurance Company
1. Introduction:
Our client, a leading player in the financial market is in the process of divesting from its insurance subsidiary in line with regulatory guidelines. The insurance company is listed on the Nigerian Stock Exchange with subsidiaries and associated companies in the health management industry, insurance brokerage and pension fund management among others.
Capital Assets Limited therefore requests for Expression of Interest (“EOI”) from eligible bidders for the acquisition of our client’s equity stake.
2. Requirements for the EOI
The Expression of Interest (“EOI”) should be supported by the under-listed documents:
- Certificate of Incorporation
- Form CAC2
- Form CAC7
- Memorandum and Articles of Association
- If the applicant is a Special Purpose Vehicle, detailed information on each prospective investor, proposed shareholding together with an affidavit or Memorandum of Understanding should be provided.
- Company profile which must include:
- History of the company.
- Nature of business.
- Brief profile of Directors and Management.
- Most recent audited financial statements.
- Shareholding Structure.
- Relationship to any parent/holding or subsidiary company.
3. Submission of Expression of Interest
The EOI should be submitted not later than 5 p.m. on any working day and not later than 17th February, 2014 at the address below. Further information will be forwarded to shortlisted firms to enable them submit a formal bid.
