Introduction:
The Shell Petroleum Development Company of Nigeria (SPDC) in its role as operator of the NNPC/Shell/TEPN/AGIP Joint Venture, on behalf of the Joint Venture, hereby invites reputable Nigerian companies with proven requisite expertise and experience to apply for consideration of inclusion in the commercial bid for the Purchase of Six SPDC owned EC155 Helicopters listed in Lots 1 and 2 in the Aircraft Details below.

Mandatory Pre-Qualification Criteria:
Failure to comply strictly to these criteria may lead to disqualification of the candidate:
- Submit Application Letter which MUST be written on company’s letter head paper.
- Provide names of 2 company representatives.
- Possession of Nigerian Civil Aviation Authority (NCAA) clearance to operate an aircraft (Valid AOC) for either the buyer or the partner where applicable.
- Evidence of Bank’s willingness to offer financial support to the value not less than USD 10.5m/Lot.
- Evidence of Legal structure – Certificate of Incorporation/Partnership deal where applicable.
- Evidence of a 3 year Tax Clearance Certificate
Two (2) copies of the pre-qualification package must be submitted in an envelope to the Vendor Service Centre at the address below on or before 13th June 2014.
Please note that Pre-qualification Information not delivered or received after this date as specified above shall be disregarded.

Please also note that:
- Only pre-qualified companies that have met SPDC’s Integrity Due Diligence (IDD) will be invited to take part in the commercial tender.
- This advertisement of “Invitation to Pre-qualify” shall not be construed to a commitment on the part of NNPC/SPDC to award any form of contract to your company and/or associated companies, sub-contractors or agents; nor shall it entitle any company submitting documents to claim indemnity from NNPC/SPDC and/or any of its partners
- NNPC/SPDC reserves the right to take the final decision on any of the documents received in your pre-qualification package.
- NNPC/SPDC will deal only with authorized officers of the companies submitting documents and NOT through individuals or agents.
Nigerian Content Requirements:
Vendors are to demonstrate strict compliance with the provisions of Nigerian Oil & Gas Industry Content Development Act and also provide the following requirements:
- Demonstrate that the entity is a Nigerian Registered Company, or Nigerian Registered Company as the contracting entity in genuine alliance or joint venture with foreign company with details on scope and responsibilities of parties for this work. Such companies must show evidence of joint venture binding agreement duly signed by the CEO of both companies including evidence or plans of physical operational presence and set-up in Nigeria.
- Furnish details of company ownership and share holding structure. Also submit clear photocopies of your CAC Forms C02 and C07.
- Provide a Nigerian Content Plan providing a detailed description of the role, work scope, man-hours and responsibilities of all Nigerian companies and personnel that would be involved in executing the work. Also provide details of Nigerian Content focal point or manager.
- Provide details on any other Nigerian Content initiative your company is involved in.
All successfully pre-qualified suppliers will receive the Invitation to Technical Tender (ITT).

The marked and sealed envelope shall be submitted to the address above NOT later than 2:00pm on June 13, 2014.

Please note the following:
- All costs incurred in preparing and processing the prequalification package shall be to the contractor’s accounts.
- The tendering process shall be the SPDC contracting process requiring pre-qualified companies to submit technical tenders first. Following a technical review, only technically and financially qualified contractors will be requested to submit commercial tenders.
