- The Federal Government of Nigeria is desirous of developing Inland Container Depots (ICDs) and a Container Freight Station (CFS) to address the challenges posed to importers and exporters in the shipment of their cargoes and therefore, intends to enter into business relationship with suitably qualified Concessionaires to Build, Operate and Transfer (BOT) Dagbolu, Lolo and Onitsha ICDs and Ogwashi-Uku CFS under a Public Private Partnership (PPP) Scheme.
- The Nigerian Shippers’ Council has received unsolicited proposals from proponents on the development of ICDs at Dagbolu, Lolo and Onitsha and a CFS at Ogwashi-Uku, The Infrastructure Concession Regulatory Commission (ICRC) has reviewed the Outline Business Case (OBC) prepared by the Proponents.
- The Nigerian Shippers’ Council now wishes to engage Transaction Advisor (TA) for each of the projects. The TA will assist the Grantor (NSC) update the OBC submitted by the Proponents and take the Bidders through the Swiss Challenge PPP procurement phase up to Financial Close by the successful Concessionaire.
- The construction of Inland Container Depots (ICDs) and the Container Freight Station (CFS) are to be done in accordance with Specifications and International Standards in such a manner as to provide secure and efficient port services. Also the preferred Bidders shall operate and maintain the facilities to high standards on a financially sound basis over an agreed concession period.
- In this regard therefore, the Nigerian Shippers’ Council intends to procure the services of experienced Transaction Advisor with full complement of relevant skills to assist through the PPP Procurement phase up to Financial Close. The Transection Advisors will undertake key tasks that shall include but not limited to the following:
Lots 1: Procurement of Concessionaire, Negotiate with the preferred Bidder and prepare a Full Business Case (FBC) up till financial close
Lot 2: Negotiate with the preferred bidder and prepare a Full Business Case (FBC) up till financial close
Lot 3 and 4: Update the unsolicited OBC and Financial Model; Project Management; PPP Advisory (Legal; Technical and Financial); PPP structuring and Marketing; Development of a Procurement Plan, Conduct Swiss Challenge Procurement, Negotiate with the Preferred Unsolicited Bidder and Prepare a Full Business Case (FBC),
- The prospective Transaction Advisors are expected to demonstrate financial, legal and technical competence to undertake the task. The EOI submission should include but not limited to the following:
(i.) Full name of Consultant, Firm, Advisors or Consortium and contact person(s), postal contact and e-mail addresses, telephone/facsimile/ mobile numbers;
(ii.) Firm Profile;
(iii.) Evidence of extensive knowledge and experience in the role of Transaction Advisor on similar high profile, local and international projects; experience in the Port and Terminal services Public Private Partnership (PPP) will be an added advantage;
(iv.) Details of experience in the preparation of feasibility studies in the Port and Terminal operations;
(v.) Evidence of civic and statutory compliances including three years abridged audited accounts, tax certificates, incorporated certificates, (Consortium may include documents of each corporate entity); and
(vi.) Registration in the appropriate categories with the Federal Government or country of origin if not resident in Nigeria.
- Upon receipt of EOI from interested Transaction Advisors, the Nigerian Shippers’ Council shall evaluate and pre-qualify applicants. Thereafter, the pre-qualified shall be issued with Request for Proposal (RFP) for the Technical and Financial Proposals.
- Interested and qualified Transaction Advisors desiring to offer their services to Government in this capacity should submit EOI, describing in details their proposed services, and level of experience of the Firm.
- Completed EOIs in six (6) copies should be signed, sealed and delivered in separate envelopes clearly marked “CONFIDENTIAL” and boldly written Expression of Interest for Transaction Advisory Services for the Development of Inland Container Depot (ICD) and Container Freight Station (CFS) Indicating the Lot No. Clearly and submitted to:
